Kathy A. Lawrence
Kathy Lawrence focuses her practice on the representation of public and private companies, including real estate investment trusts (REITs) and other direct participation programs, in a variety of corporate and securities matters and capital markets transactions.
Kathy has advised issuers in connection with more than $2.5 billion in initial public offerings, primary and secondary offerings, Regulation A offerings, 1031 syndications and other private placements of equity and debt securities. In addition, she has extensive experience as primary outside counsel to public company clients and their boards of directors (including audit, compensation and other board committees) with respect to a broad range of corporate governance and securities law matters, including Securities and Exchange Commission compliance, disclosure and periodic reporting obligations under the U.S. federal securities laws, stock exchange listing and compliance, federal proxy rules, Section 16 compliance and reporting, and executive compensation issues, including equity incentive plan administration.
Kathy also counsels clients on general corporate matters including risk management, contract negotiations, mergers and acquisitions, and corporate/partnership reorganizations and restructurings.
Kathy earned her Juris Doctor degree from the College of William & Mary School of Law and her Bachelor of Arts degree from the University of Virginia.
