Will Halliday advises companies through all stages of their growth. He has a particular focus on guiding business owners, executives and companies through high-stakes, strategic transactions, including mergers, acquisitions and equity offerings. He has advised public and private companies in the technology, life sciences, renewable energy and government contracting industries. Will draws on this experience to advise his clients on best practices occurring across those industries on both legal and transactional matters.

Will helps entrepreneurs build their businesses from square one, including advising on entity selection, formation and raising equity capital from angel and venture capital investors.  Additionally, Will helps his clients with the drafting and negotiation of shareholder and partnership agreements, equity incentive plans and joint venture agreements, as well as guiding them through management buyouts and mergers and acquisitions (whether through the purchase of stock or assets).

In his securities practice, Will has advised investors making and selling investments in private companies, as well as in private funds, including venture capital funds and SBIC funds. For his public company clients, Will counsels them through their compliance obligations under the Securities Act of 1933, the Securities Exchange Act of 1934 and the rules and regulations of the Securities and Exchange Commission and national securities exchanges, including the New York Stock Exchange and Nasdaq.

Will earned his Juris Doctor degree from the University of Virginia School of Law, where he served as a co-founder of Rivanna Investments and was on the editorial board of the Virginia Environmental Law Journal, and his Bachelor of Arts degree from the University of Virginia, where he was an Echols Scholar and graduated as a member of Phi Beta Kappa.

Prior to law school, Will worked in Citigroup's Corporate & Investment Bank in New York City, where he helped advise clients on mergers and acquisitions, public offerings, and syndicated loan financings.
